By accessing LiberLayer's website or services, you affirm that you are at least 18 years old and capable of entering into a binding agreement. If you are using our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

LiberLayer provides infrastructure and tooling for deploying sovereign AI systems, automation platforms, and private cloud infrastructure. Our services are designed for technical users and organizations seeking ownership and control over their digital systems.

3. Account Registration and Access

Access to certain LiberLayer services requires registration and approval. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

4. Acceptable Use

You agree not to use LiberLayer's services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malware or engage in malicious activities
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our services
• Engage in any activity that could harm LiberLayer or our users

5. Intellectual Property

LiberLayer retains all rights to our software, documentation, trademarks, and other intellectual property. We grant you a limited, non-exclusive, non-transferable license to use our services in accordance with these Terms.

You retain all rights to your data and content. By using our services, you grant us a limited license to host, process, and transmit your content as necessary to provide our services.

6. Data Sovereignty and Ownership

LiberLayer is designed to enable data sovereignty. You maintain ownership and control of your data. We do not claim ownership of any data you store or process using our infrastructure.

7. Service Availability and Support

We strive to maintain high availability of our services but do not guarantee uninterrupted access. Scheduled maintenance and upgrades may result in temporary downtime.

Support is provided in accordance with your service plan. Details of support levels and response times are specified in your service agreement.

8. Fees and Payment

Pricing for LiberLayer services will be specified in your service agreement. You agree to pay all fees in accordance with the payment terms. Failure to pay may result in suspension or termination of services.

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our relationship.

10. Limitation of Liability

To the maximum extent permitted by law, LiberLayer shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold LiberLayer harmless from any claims, damages, or expenses arising from your use of our services or violation of these Terms.

12. Termination

Either party may terminate these Terms with written notice. Upon termination:

• Your access to services will be revoked
• You must cease use of our software and return or destroy our proprietary materials
• We will provide reasonable assistance in data migration (subject to applicable fees)

13. Changes to Terms

We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the updated Terms. We will notify users of material changes via email or website notice.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

15. Export Compliance

You agree to comply with all applicable export and import control laws and regulations in your use of LiberLayer services.

16. Entire Agreement

These Terms, together with your service agreement and privacy policy, constitute the entire agreement between you and LiberLayer regarding the use of our services.
